Welcome to VeriContact (“VeriContact”, “we”, “us”, “our”). These Terms & Conditions (“Terms”) govern your access to and use of our website, dashboard, APIs, and related services (collectively, the “Service”). By creating an account, accessing, or using VeriContact, you agree to be bound by these Terms. If you do not agree, you must not use the Service.
1. Eligibility
You may use VeriContact only if you have the legal capacity to enter into a binding contract in your jurisdiction and, where you act on behalf of an organization, you represent and warrant that you are authorized to bind that organization to these Terms.
2. Account Registration & Security
To use most features of the Service, you must create an account and provide accurate, current, and complete information. You are responsible for:
- Maintaining the confidentiality of your login credentials.
- All activities that occur under your account.
- Promptly updating your details to keep them accurate and complete.
You must notify us immediately if you suspect any unauthorized access or use of your account. We are not liable for any loss arising from your failure to safeguard your credentials.
3. Use of the Service
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use VeriContact for your internal business or organizational communication needs.
When using the Service, you agree that you will not:
- Use the Service for any unlawful, harmful, or abusive purpose.
- Send spam, unsolicited bulk messages, or misleading communications.
- Harass, threaten, or violate the rights of others.
- Reverse engineer, decompile, or attempt to derive the source code.
- Bypass or interfere with security or access controls.
- Use the Service to send content that is defamatory, obscene, or infringing.
4. Customer Data & Communications
You are solely responsible for the content of the messages and data you send or upload through VeriContact (“Customer Data”), including obtaining any necessary consents from recipients and complying with applicable laws (e.g., privacy, spam, and telecom rules).
By using the Service, you grant us a limited, non-exclusive license to process Customer Data solely for the purpose of providing and improving the Service.
5. Third-Party Services & Channels
VeriContact may integrate with third-party services or communication channels (such as email providers, SMS gateways, or WhatsApp). Your use of these third-party services may be subject to their own terms and policies, and we are not responsible for their content, availability, or performance.
6. Fees & Payment
Some features of VeriContact may be offered on a paid plan or subscription basis. Applicable pricing, billing cycles, and payment terms will be presented to you at the time of purchase or within your account.
Unless stated otherwise:
- Fees are quoted exclusive of taxes, which may be added as required by law.
- Payments are non-refundable except where required by law or explicitly stated.
- We may suspend or terminate your access for non-payment or repeated payment issues.
7. Intellectual Property
VeriContact, including its software, design, logos, trademarks, text, graphics, and other content (excluding Customer Data), is owned or licensed by us and is protected by intellectual property laws. Except as expressly allowed in these Terms, you may not copy, modify, distribute, sell, or create derivative works based on the Service or its content.
8. Confidentiality
During your use of the Service, you may receive non-public information about our technology, business, or operations (“Confidential Information”). You agree not to disclose or use Confidential Information for any purpose other than as necessary to use the Service in accordance with these Terms.
9. Term & Termination
These Terms remain in effect while you use the Service. We may suspend or terminate your access to VeriContact at any time, with or without notice, if we reasonably believe that:
- You have violated these Terms or applicable law;
- Your use creates risk or harm to us, the Service, or other users; or
- We discontinue the Service in whole or in part.
You may stop using the Service at any time and, where available, cancel your subscription through your account settings. Upon termination, your right to access the Service will cease, but certain provisions (including those relating to intellectual property, limitations of liability, and indemnification) will continue to apply.
10. Disclaimers
The Service is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not guarantee that the Service will be uninterrupted, timely, secure, or error-free, or that communications sent via the Service will always reach recipients or be delivered within a specific time.
11. Limitation of Liability
To the maximum extent permitted by law, VeriContact and its officers, employees, and partners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenues, data, or goodwill, arising out of or in connection with your use of the Service.
Our total aggregate liability for any claim relating to the Service or these Terms will not exceed the amount you paid to us for the Service in the twelve (12) months preceding the event giving rise to the claim, or, if you have not paid any fees, a maximum of one hundred (100) EUR (or equivalent).
12. Indemnification
You agree to indemnify and hold VeriContact, its affiliates, and their respective officers, directors, employees, and agents harmless from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:
- Your use of the Service;
- Customer Data or communications you send through the Service;
- Your violation of these Terms or any applicable law; or
- Your infringement of any rights of another person or entity.
13. Governing Law & Dispute Resolution
These Terms, and any dispute or claim arising out of or in connection with them or the Service, shall be governed by and construed in accordance with the laws applicable in your principal place of business or, if unspecified, the laws of a competent jurisdiction chosen by VeriContact, without regard to conflict of law principles.
Where required, you and VeriContact agree to first attempt to resolve disputes informally. If a dispute cannot be resolved amicably, it may be submitted to the courts of competent jurisdiction.
14. Changes to These Terms
We may update or modify these Terms from time to time. When we do, we will revise the “Last updated” date above and, where appropriate, notify you via the Service or by email. Your continued use of VeriContact after the changes become effective constitutes your acceptance of the updated Terms.
